Welcome to www.okfay.co.uk. This website is made available by OKFAY for customer use. It forms part of the broader OKFAY online services and offerings. By accessing or using this site, any related site, mobile application, or other service within the OKFAY network, you agree without condition to comply with these Terms and Conditions. Even if you enter the site through a bookmarked page or another direct route, your continued use remains subject to these terms.

OKFAY grants you a limited license to access and make personal use of this site. Except for routine page caching, you may not download, alter, or modify this site or any part of it without OKFAY’s express written consent. This license does not allow resale or commercial use of the site or its contents, use of product listings, descriptions, or prices for commercial purposes, derivative use of the site or its contents, downloading or copying account information for the benefit of another merchant, or the use of data mining, robots, image stripping, or similar data gathering and extraction tools.

Without express written consent, no part of this site may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for a commercial purpose. You may not frame or use framing techniques to enclose any OKFAY trademark, logo, proprietary information, image, text, page layout, or form without prior written permission. You may not use meta tags, hidden text, direct linking, or source-calling that uses OKFAY’s name, trademarks, trade dress, media, or other intellectual property without express written authorization. Any unauthorized use will immediately terminate the permission or license granted by OKFAY.

You are granted a limited, revocable, and non-exclusive right to create a hyperlink to the OKFAY home page, provided that the link does not present OKFAY, its affiliates, or its products or services in a false, misleading, derogatory, or otherwise offensive way. You may not use any OKFAY logo, graphic, or trademark as part of the link without express written permission.

If you email a cart, create a saved cart, or have a saved cart created by our staff, you may receive follow-up emails relating to that cart. You may unsubscribe at any time by following the instructions included in those emails.

6. Reviews, Comments, Communications, and Other User Content

Users may submit comments, feedback, suggestions, questions, reviews, and other materials on OKFAY. Such content should be written in English. Any content you post must not be false, inaccurate, misleading, unlawful, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, harmful to third parties, or otherwise objectionable. It also must not contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or spam. 

You may not use a false email address, impersonate another person or entity, or otherwise misrepresent the origin of the content. Content that harasses, degrades, intimidates, or targets an individual or group on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability is prohibited. Although OKFAY reserves the right, but not the obligation, to remove or edit such content, we do not routinely review all posted materials.

By submitting content, you confirm that you are the sole author and owner of the content, or otherwise have the necessary rights to provide it; that you are at least 18 years old, or if you are between 16 and 18, that your submission is made under the supervision of a parent or legal guardian who agrees to be bound by this agreement; and that the use of any content you provide will not breach this agreement or cause injury to any person or entity.

For any content you post, upload, or otherwise make available to OKFAY, you grant OKFAY, its affiliates, and related entities a worldwide, royalty-free, perpetual, irrevocable, non-exclusive, and fully sublicensable license to use, reproduce, copy, distribute, publish, publicly perform, publicly display, modify, adapt, translate, archive, store, and create derivative works from that content in any form, format, or medium now known or later developed. This includes the right to share the content across websites, advertising, media, and other channels affiliated with OKFAY; to make the content searchable within the OKFAY network; to place advertisements near such content; and to use your name, likeness, and other information in connection with the content. 

You waive any moral rights in the content you provide. You also grant OKFAY the right to use any material, information, ideas, concepts, know-how, or techniques contained in communications you send to us for any purpose, including commercial use and the development, manufacture, and marketing of products or services. No additional compensation is required for these rights. You also authorize OKFAY and its sublicensees to use the name submitted with the content if they choose.

You further represent and warrant that you own or otherwise control all rights in the content you post, that the content is accurate, that its use does not violate this agreement and will not cause injury to any person or entity, and that you will indemnify OKFAY for all claims resulting from content you provide.

When posting or sharing content, do not include your full name or other confidential personally identifiable information about yourself or others. Sharing personal information is at your own risk. OKFAY is not responsible for damage or harm arising from your decision to disclose personal information. Any content uploaded to our app or site, except payment information, may be viewed by your team members. You are responsible for your own data and usage costs.

7. Pricing

OKFAY aims to keep product and pricing information accurate, but pricing errors or typographical mistakes may occur. We cannot confirm the price of an item until after an order is placed. If an item is listed with an incorrect price or inaccurate information because of an error in pricing or product details, OKFAY may, at its sole discretion, either contact you for instructions or cancel the order and notify you of the cancellation. Prices and availability may change without notice.

8. Quotes

Quoted prices remain valid through the stated expiration date. However, pricing may change without notice if there are changes to specifications, quantity, designs, or delivery schedules, or as a result of changes in the cost of materials, supplies, labor, clerical error, or foreign or domestic legislation.

9. Order Acceptance

Certain orders may be incapable of acceptance and may need to be cancelled. OKFAY reserves the right, in its sole discretion, to refuse or cancel any order for any reason. For your convenience, you are charged when the order is placed, and the order will be shipped within the timeframe stated on the relevant product page or under the website’s Shipping Policies section. If an order cannot be shipped within 24 hours, the funds will be held as a deposit on the goods until shipment occurs. Orders may be cancelled for reasons including quantity limitations, errors in product or pricing information, or concerns identified by our credit or fraud prevention department. We may also request additional verification or information before accepting an order. If all or part of your order is cancelled, or if additional information is required, we will contact you. If your order is cancelled after payment has been received, a credit will be issued to the original payment method in the amount charged.

10. Quantity Limits and Dealer Sales

OKFAY reserves the right to limit the quantity of items purchased per person, household, or order. These limits may apply to orders placed using the same payment account, billing address, shipping address, or email address. If such limits are applied, notification will be sent to the customer email and/or billing address provided. OKFAY also reserves the right to prohibit sales to dealers. If you wish to purchase multiple quantities for a corporation or institution, please contact our Sales Team.

11. Product Descriptions

OKFAY seeks to present product descriptions and related site content as accurately as possible. However, we do not warrant that descriptions or other site content are accurate, complete, reliable, current, or free from error. If a product purchased from us is not as described, your sole remedy is to return it in unused condition.

We also make every effort to display product colors and finishes as accurately as possible. However, because actual colors depend on your monitor or device display, we cannot guarantee that the colors or finishes shown on your screen will be accurate.

You agree to defend, indemnify, and hold OKFAY harmless from and against any and all claims, damages, costs, and expenses, including attorneys’ fees, arising from or related to your misuse of the site.

All content included on this site, including text, graphics, logos, button icons, images, audio or video media, digital downloads, data compilations, and software, is the property of OKFAY or its content suppliers and is protected by the copyright laws applicable in Hong Kong.

The compilation of all content on this site is the exclusive property of OKFAY and is likewise protected by Hong Kong copyright laws. All software used on this site is the property of OKFAY or its software suppliers and is protected by Hong Kong copyright laws.

14. Disclaimer of Warranties and Limitation of Liability

This site is provided by OKFAY on an “as is” and “as available” basis. OKFAY makes no representations or warranties of any kind, whether express or implied, regarding the operation of the site or the information, content, materials, or products included on it. To the fullest extent permitted by applicable law, OKFAY disclaims all warranties, whether express or implied, including implied warranties of merchantability and fitness for a particular purpose. Without limiting the foregoing, OKFAY disclaims any and all warranties, express or implied, relating to merchandise offered on this website. For customers located in the United Kingdom and other European Union countries, this Agreement is governed by and construed in accordance with the laws of the United Kingdom. For customers located outside the United Kingdom and the European Union, this Agreement is governed by and construed in accordance with the laws of Hong Kong, as applied to agreements entered into and performed within Hong Kong.

Any action or proceeding arising out of or relating to these Terms of Use or your use of this site will be subject to binding arbitration under the arbitration rules applicable in the relevant jurisdiction, namely the United Kingdom or Hong Kong. All such actions or proceedings must be brought on an individual basis and may not be combined or consolidated with claims or disputes involving other parties.
